Notice of Binding Arbitration & Class Action Waiver

Governing Law

These Terms and Conditions are governed by and construed in accordance with the laws of the state of Minnesota, without giving effect to any choice of law principles thereof regardless of where you as the user are based.  Any claim, controversary or dispute related to these Terms and Conditions, or your access to the MCE website, shall be resolved solely by arbitration in accordance with the commercial arbitration rules of the American Arbitration Association. Any arbitration may, but need not be, administered by the American Arbitration Association and shall be held in Minneapolis, Minnesota.  There shall be one arbitrator and the arbitration shall be in English.  You understand you are giving up your rights to have any disputes determined in a court before a judge or jury.

Class Action Waiver

Any arbitration under these Terms and Conditions will take place on an individual basis; class arbitrations and class/representative/collective actions are not permitted. The parties agree that a party may bring claims against the other only in each’s individual capacity, and not as a plaintiff or class member in any putative class, collective and/or representative proceeding, such as in the form of a private attorney general action against the other. The arbitrator may not consolidate more than one person’s claims, and may not otherwise preside over any form of a representative or class proceeding.
